These Terms of Service ("Terms") govern your access to and use of the Listed platform, operated by Listed ("we," "us," or "our"), available at uselisted.com and related services. By creating an account or using our platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using Listed, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the platform. We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.
2. Account Registration
Accurate Information
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. This includes your name, email address, and, for venue operators, your business details, venue address, and licensing information.
Age Requirements
You must be at least 18 years old to create a Listed account. For events involving alcohol sales or nightlife venues, you must meet the minimum legal age in your jurisdiction (typically 21 in the United States). Venue operators are responsible for enforcing age restrictions at their events in compliance with local laws.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us at security@uselisted.com if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your account where you have failed to maintain adequate security.
3. Platform Services
Listed provides a suite of tools for event management and nightlife operations. The platform includes:
- Venue Tools: Real-time venue mapping with drag-and-drop floor plans, table management, section configuration, capacity monitoring, and staff management
- Promoter Tools: Guestlist creation and management, personal tracked ticket links, event page creation, flyer uploads, and performance analytics
- Ticketing: Ticket creation with multiple tiers, dynamic pricing, QR code-based check-in, and real-time sales tracking
- Guestlist Management: Guest invitations, RSVP tracking, check-in management, and plus-one handling
- CRM: Customer profiles, spend tracking, attendance history, birthday alerts, and customer segmentation
- Floor Plans: Interactive venue layouts, table placement, section management, and event-specific configurations that update in real-time across all devices
We reserve the right to modify, suspend, or discontinue any feature of the platform with reasonable notice. We will provide at least 30 days' notice before discontinuing any core feature.
4. Fees and Payments
Subscription Tiers
Listed offers the following subscription plans:
- Free: $0/month - Available to all promoters and small venues. Includes unlimited guestlists and events, 1 floor plan, 2 staff accounts, and weekly payouts
- Pro: $149/month - For growing venues. Includes real-time venue mapping, full CRM, 1,000 SMS/month, dynamic pricing, daily payouts, and white-label event pages
- Ultra: $499/month - For premium venues and chains. Includes everything in Pro plus 5,000 SMS/month, instant payouts, multi-venue management, AI insights, and event financing eligibility
- Enterprise: Custom pricing - For hospitality groups. Includes everything in Ultra plus volume discounts, SSO/SAML, custom integrations, dedicated account manager, and SLA guarantees
Ticket Processing Fee
A platform fee of 2.5% + $0.99 is applied to each ticket sold through the platform. This fee is passed to the ticket buyer and is added to the ticket price at checkout. This fee is in addition to Stripe's payment processing fee (currently 2.9% + $0.30), which is also passed to the buyer.
Payment Processing
All payments are processed through Stripe. Venue payouts are facilitated through Stripe Connect. By using our payment features, you also agree to Stripe's Terms of Service. Payout timing depends on your subscription tier (weekly, daily, or instant).
Refund Policy
Refund policies for ticket purchases are set by the individual venue or event organizer. Listed facilitates refunds as directed by the venue but does not independently determine refund eligibility. The platform processing fee (2.5% + $0.99) is non-refundable once a transaction has been processed. Venues may set their events as non-refundable, partially refundable, or fully refundable. In cases of event cancellation by the venue, full refunds including the platform fee will be issued.
Subscription Billing
Subscriptions are billed monthly or annually in advance. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial billing periods. Annual plans may be eligible for a prorated refund within the first 30 days.
5. Venue Responsibilities
If you use Listed as a venue operator, you agree to:
- Accurate Event Information: Provide truthful and complete information about your events, including date, time, location, pricing, age restrictions, and any other material details
- Compliance with Local Laws: Operate your venue and events in full compliance with all applicable local, state, and federal laws, including but not limited to fire codes, building regulations, health department requirements, and noise ordinances
- Capacity Limits: Accurately represent your venue's maximum capacity and use the platform's capacity monitoring tools responsibly. Never exceed your legally permitted capacity
- Alcohol Regulations: Comply with all applicable liquor license requirements, age verification obligations, and responsible service of alcohol laws. You are solely responsible for alcohol-related compliance at your venue
- Tax Obligations: You are responsible for collecting and remitting all applicable taxes on ticket sales and services provided through the platform
- Staff Training: Ensure your staff is properly trained on using the platform, particularly check-in procedures, QR code scanning, and guestlist management
6. Promoter Responsibilities
If you use Listed as a promoter or event curator, you agree to:
- Accurate Promotion: Promote events truthfully and not misrepresent event details, lineup, pricing, or any other material information to potential attendees
- No Unauthorized Ticket Resale: Not resell tickets at inflated prices or use the platform to facilitate unauthorized ticket scalping. Promoters receive tracked ticket links for legitimate sales only
- Commission Terms: Commission structures between promoters and venues are established within the platform. Listed tracks sales attribution through unique promoter links. Commission rates and payment terms are agreed upon between the venue and promoter within the platform, and Listed facilitates these payments but is not a party to the agreement
- Compliance: Comply with all applicable advertising and marketing laws, including truth-in-advertising requirements and social media disclosure regulations
- Brand Standards: Not use Listed's brand, logo, or name in a way that suggests endorsement or partnership without explicit written permission
7. Attendee Terms
If you use Listed to purchase tickets or join guestlists, you agree to:
Ticket Purchase
All ticket purchases are final and subject to the refund policy set by the venue or event organizer. You are responsible for reviewing the event details and refund policy before completing a purchase. Ticket prices displayed at checkout include the platform fee and payment processing fee.
Refunds
Refund requests must be directed to the venue or event organizer. Listed processes refunds as instructed by the venue but does not make independent refund decisions. If an event is cancelled by the venue, you will receive a full refund including all fees.
QR Code Terms
Each ticket generates a unique, rotating QR code for event check-in. Your QR code is personal and non-transferable. You must present your QR code from the Listed app or your confirmation email for entry. QR codes rotate periodically for security purposes.
No Screenshot or Transfer Fraud
You may not screenshot, duplicate, or share your QR code with others for the purpose of unauthorized entry. The platform's anti-fraud measures detect duplicate QR code presentations. Attempted fraud will result in denial of entry and may result in account termination and potential legal action.
8. Intellectual Property
Our Content
The Listed platform, including its design, code, features, documentation, brand assets, and all related intellectual property, is owned by Listed. You may not copy, modify, distribute, or reverse engineer any part of the platform without our written permission.
User-Generated Content
You retain ownership of content you create on the platform, including event descriptions, flyer designs, and promotional materials. By uploading content, you grant Listed a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content solely for the purpose of operating the platform and providing our services.
Venue and Event Data
Venue operators retain ownership of their venue data, including floor plans, event configurations, and customer data collected through the platform. Listed uses this data to provide the platform services and may use anonymized, aggregated data for analytics and platform improvement. Upon account termination, venue operators may request a data export of their venue and event data.
9. Prohibited Conduct
You may not use Listed to:
- Commit Fraud: Engage in fraudulent ticket sales, create fake events, use stolen payment methods, or misrepresent your identity
- Scrape or Harvest Data: Use automated tools, bots, or scripts to scrape, crawl, or extract data from the platform without written permission
- Gain Unauthorized Access: Attempt to access accounts, systems, or data that you are not authorized to access, or bypass any security measures
- Distribute Harmful Content: Upload or distribute malware, viruses, or other harmful code, or content that is defamatory, obscene, or promotes violence or illegal activity
- Violate Others' Rights: Infringe on intellectual property rights, violate privacy rights, or engage in harassment or discrimination
- Manipulate the Platform: Artificially inflate ticket sales, manipulate analytics, create fake reviews or social proof, or interfere with the platform's operation
- Circumvent Fees: Attempt to avoid platform fees, processing fees, or subscription charges through technical manipulation or other means
10. Termination
Termination by Us
We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, fail to pay applicable fees, or if we determine that your use of the platform poses a risk to other users or the platform's integrity. We will provide notice and an opportunity to address the issue where practicable, except in cases of fraud or imminent harm.
Termination by You
You may close your account at any time through your account settings. Subscription cancellations take effect at the end of the current billing period.
Data Export
Upon account termination (by either party), you may request a full export of your data within 30 days. After 30 days, your data will be deleted in accordance with our Privacy Policy and data retention requirements. We provide data exports in standard formats (CSV, JSON) through your account settings or upon request.
Surviving Obligations
Sections relating to intellectual property, limitations of liability, dispute resolution, and any accrued payment obligations survive termination of these Terms.
11. Disclaimers and Limitations
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTED'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LISTED IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.
Listed is a platform provider. We are not responsible for the conduct of venue operators, promoters, or attendees. We do not guarantee the quality, safety, or legality of events listed on the platform. Venue operators are solely responsible for their events and compliance with applicable laws.
12. Dispute Resolution
Arbitration
Any dispute arising from or relating to these Terms or the platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action, collective action, or representative proceeding. Small claims court actions for disputes within the court's jurisdictional limits are permitted.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.
Notice of Dispute
Before initiating arbitration, you agree to send a written notice of the dispute to legal@uselisted.com describing the nature of the claim and the relief sought. Both parties agree to attempt to resolve the dispute informally within 60 days before proceeding to arbitration.
